Introduction

These Terms and Conditions ("Terms") govern your use of the Inside Voice website and services provided by Synodos Pty Ltd (ABN 35 694 864 590) trading as Inside Voice ("Inside Voice", "we", "us", or "our").

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1.1 Regulatory Status

Inside Voice (Synodos Pty Ltd) does not hold an Australian Financial Services Licence (AFSL), is not an Australian Credit Licensee, and is not an Authorised Representative of any AFSL holder or Australian Credit Licensee. Nothing on this website or in any deliverable produced by Inside Voice constitutes financial product advice, credit advice, legal advice, tax advice, or regulatory advice. Inside Voice provides content and marketing services to licensed businesses; the regulatory characterisation of any output remains the responsibility of the licensed client.

Services

Inside Voice provides content infrastructure services for licensed Australian businesses, including but not limited to:

  • Development of documented voice guidelines and persona libraries
  • Regulatory reference documentation
  • Two-stage approval publishing pipelines
  • Audit trail and compliance logging
  • Content production and publishing services

Specific service terms are set out in individual client agreements. Where Inside Voice and a client have entered into a Master Services Agreement (MSA) or equivalent written agreement, the MSA governs the paid services relationship and prevails over these website Terms to the extent of any inconsistency. These Terms continue to govern use of the website.

Fees for paid services are set out in the applicable MSA or statement of work and are not published on this website.

3.

Website Use

You agree to use our website only for lawful purposes and in accordance with these Terms. You must not:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorised access to any part of the website or its systems
  • Introduce viruses, malware, or other harmful code
  • Collect or harvest information about other users
  • Use the website to transmit unsolicited communications

Work product created by Inside Voice under a service agreement ("Deliverables") is governed by the terms of the applicable client agreement.

5.1 Service Availability

Inside Voice provides services on a commercially reasonable best-efforts basis. We do not warrant uninterrupted availability of the website or any service. Scheduled maintenance and unscheduled outages may occur.

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

  • The website will be available at all times or error-free
  • Information on the website is complete, accurate, or up-to-date
  • Our services will meet your specific requirements

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law (Schedule 2), or any other applicable law, that cannot be lawfully excluded, restricted, or modified by agreement. Where Inside Voice is liable for a breach of a non-excludable consumer guarantee in relation to services, our liability is limited, to the extent permitted by section 64A of the Australian Consumer Law, to the supply of the services again or the payment of the cost of having the services supplied again.

Subject to the rights and remedies referred to above that cannot lawfully be excluded, and to the maximum extent permitted by law, Inside Voice shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

Subject to the rights and remedies referred to above that cannot lawfully be excluded, our total aggregate liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Inside Voice, its directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of our website or services
  • Any content or materials you provide to us
  • Your violation of any third-party rights

This indemnity does not extend to claims, damages, or expenses to the extent they arise from Inside Voice's own negligence, wilful misconduct, or breach of these Terms.

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • Notice of material changes: material changes will be notified by a banner on this website for at least 14 days before they take effect. Where you have an active account or paid engagement, we will also notify you by email to the address on file.
  • Right to terminate without penalty: where a material change adversely affects an active paid engagement, the affected client may terminate that engagement without penalty within 30 days of the notice, in accordance with the termination provisions of the applicable MSA.
  • Continued use: continued use of the website after the effective date of a change constitutes acceptance of the modified Terms.

Where you are not party to a paid engagement with Inside Voice, your remedy if you do not accept a material change to these Terms is to discontinue use of the website.

12.

Termination

We may terminate or suspend your access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

13.

Governing Law

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for any disputes arising from these Terms or your use of our website.

13.1 Assignment

Inside Voice may assign or novate these Terms, and any related client agreement, to a successor entity in connection with a merger, acquisition, sale of substantially all of its assets, internal restructure, or similar corporate transaction, on notice to the user or client. The user or client may not assign these Terms without Inside Voice's prior written consent, not to be unreasonably withheld.

14.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
